Who we are
These terms are an agreement between you and Parth Bharatbhai Sarkhelia, sole proprietor, trading as Aditya Nexus (GSTIN 24KDMPS9508A1Z8), of 50, Ashwin Co-op Housing Society-3, First Floor, Khodiyar Nagar Road, Varachha Road, Surat, Gujarat 395010, India (“Aditya Nexus”, “we”, “us”). They apply to this website, the Ankit web app at ankit.adityanexus.com and our contract software and IT services. By using any of them you accept these terms, our privacy policy and our refunds and cancellations policy. If you do not agree, please do not use them.
Ankit accounts
- Ankit is invite-only. You must be 18 or over and able to enter a contract under Indian law.
- An account is for one person. Do not share your login.
- Keep your password secure. You are responsible for what is done through your account, so tell us at once if you think someone else has used it.
What Ankit does
Ankit turns an embroidery photo or artwork into a machine-generated draft: a Tajima .DST file, a layered SVG, a thread sheet and a stitch preview. The draft is meant to be reviewed and finished by a skilled digitizer, for example in Wilcom e4/e6 or Dahao emCAD.
We do not guarantee stitch quality, or that a file suits a particular machine, fabric, thread or production run. Always test-sew before production. Whether to use a file in production is your decision.
Credits and pricing
- One credit makes one design. A credit costs the price per credit quoted to you before you buy, plus applicable GST.
- Each invited account gets its first design free.
- You buy credits by UPI or bank transfer. We add them to your account once the payment reaches us.
- Credits do not expire.
- Credits are non-refundable and non-transferable once bought, except that (a) if a design fails because of our system, such as a system error or timeout, the credit is returned to your account automatically, and (b) we refund where Indian law requires it. See our refunds and cancellations policy.
Your content
- You confirm that you own, or have the right to use, every image and file you upload, and that using it with Ankit does not infringe anyone’s copyright, registered design, trademark or other rights.
- You keep all rights in your uploads. You give us a limited licence to store and process them only to provide the service to you.
- The files Ankit generates for you belong to you.
- We may remove content and suspend an account if we receive a credible complaint of infringement or find unlawful content.
- To report content that you believe infringes your rights, email parth@adityanexus.com with the details. We act on valid notices as the Information Technology Act, 2000 and its rules require.
Acceptable use
You must not:
- scrape, copy or reverse engineer Ankit or its outputs;
- abuse free previews, for example by using many devices or addresses to get around limits;
- use scripts or automation for bulk use without our written agreement;
- upload illegal, obscene or infringing content;
- attack, overload or try to get around the security of our systems.
Contract software and IT services
- Each engagement is governed by a written proposal or statement of work (SOW) that you accept before work starts. It sets out the scope, milestones, price, payment terms and timeline. Work outside it is quoted separately.
- Invoices are due as the SOW states. We may pause work while a payment is overdue.
- Custom code and deliverables made for you become yours once fully paid for. We keep our general know-how and our own reusable tools, and open-source parts stay under their own licences.
- Each of us keeps the other’s confidential information confidential and uses it only for the engagement.
- If the SOW and these terms conflict, the SOW prevails.
Availability
We run our services on a best-effort basis, with no uptime commitment (SLA). They may be unavailable during maintenance or for reasons outside our control. We try to announce planned maintenance in advance.
Liability
- Our total liability for any claim is limited to the amount you paid for the affected design or, if the claim is not about one design, the fees you paid us in the 3 months before the claim.
- We are not liable for indirect or consequential loss, including damaged fabric or thread, wasted production runs, lost profit or lost business.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited under Indian law.
Indemnity
If someone makes a claim against us because of content you uploaded, or because you broke these terms, you will make good our resulting losses and reasonable costs.
Suspension and closing an account
You can stop using our services and ask us to close your account at any time. We may suspend or close an account that breaks these terms, with notice where practical. The sections on your content, liability, indemnity and disputes continue to apply after an account closes.
Disputes and governing law
Please raise any complaint first with our Grievance Officer and give us a fair chance to resolve it in good faith.
These terms are governed by the laws of India, and the courts at Surat, Gujarat have exclusive jurisdiction. This does not take away any right you have as a consumer to approach a consumer commission under the Consumer Protection Act, 2019.

Grievance Officer: Parth Bharatbhai Sarkhelia, parth@adityanexus.com. We acknowledge a complaint within 48 hours and resolve it within one month of receiving it.
General
- We may change these terms. The date at the top shows the current version. We will tell account holders about material changes by email or WhatsApp before they apply, and using the services after that means you accept them.
- If any part of these terms is found invalid, the rest still applies.
- These terms, the privacy policy, the refunds and cancellations policy and any SOW are the entire agreement between us on their subject.
- We send notices by email or WhatsApp to the contact details on your account. Send notices to us at parth@adityanexus.com.
